Terms and Conditions of Grand Branding Ltd

Welcome to Grand Branding Ltd, a graphic design agency based in the UK. By commissioning or using our services, you agree to the following terms and conditions. Please read them carefully.
1. Definitions
“Client”: The individual, business, or entity commissioning services from [Your Company Name].
“Agency”: Grand Branding Ltd, including employees, contractors, and any third parties engaged in providing the service.
“Deliverables”: Final graphic design work, such as logos, branding, print materials, digital artwork, or websites, provided to the Client.
2. Scope of Work
The specific details of the project, including deliverables, deadlines, and fees, will be outlined in a written agreement or proposal. Any additional work requested beyond the agreed-upon scope may incur additional fees, which will be communicated to the Client in advance.
3. Fees and Payment Terms
Pricing: The fees for services will be agreed upon in writing before work begins. Quotes provided are valid for 60 days.
Payment Schedule:
A deposit of Insert 100% is required to confirm the booking of the project.
The remaining balance is due upon completion of the project or as specified in the proposal.
For larger projects, payment milestones may be agreed upon.
Late Payments: Payments are due within [30] days of the invoice date
Ownership of Work: Ownership of the final deliverables transfers to the Client only after full payment has been received.
4. Revisions and Amendments
The Client is entitled to rounds of revisions as part of the agreed fee. Further revisions or significant alterations beyond the agreed scope may be subject to additional charges, which will be communicated to the Client in advance.
5. Client Responsibilities
To ensure the smooth completion of the project, the Client agrees to:
Provide timely feedback and required content (e.g., logos, images, text).
Ensure all supplied content is free of copyright infringement or other legal issues.
Review and approve designs promptly to avoid delays.
Grand Branding Ltd, will not be liable for missed deadlines caused by the Client’s failure to provide necessary materials or approvals on time.
6. Intellectual Property
Design Ownership: Upon full payment, the Client will receive the rights to use the final design for the agreed-upon purpose (e.g., marketing, branding, or commercial use).
Source Files: Unless explicitly agreed otherwise, Grand Branding Ltd retains ownership of all source files (e.g., Adobe Illustrator, Photoshop, etc.) used to create the design. The Client will receive the final exported files (e.g., PNG, JPG, PDF) unless otherwise agreed upon.
7. Cancellation and Termination
Client Cancellation: The Client may cancel the project at any time by providing written notice. In such cases, the Client will be responsible for paying for all work completed up to the date of cancellation.
Agency Termination: Grand Branding Ltd. reserves the right to terminate the contract if the Client breaches these terms or fails to provide necessary input for project completion. In this case, any deposit or fees for work completed to date will not be refundable.
8. Deadlines and Delivery
While Grand Branding Ltd. will make every effort to meet agreed deadlines, project timelines are estimates and may be adjusted due to unforeseen circumstances. The Client will be informed of any delays.
9. Warranties and Liabilities
Warranties: Grand Branding Ltd. warrants that the final deliverables will be original and free from infringement of any third-party rights, including intellectual property rights.
Liability: The total liability of Grand Branding Ltd. for any breach or claim related to this agreement will be limited to the total fees paid by the Client. Grand Branding Ltd. will not be liable for any indirect, consequential, or special damages, including loss of revenue or business opportunities.
10. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the project. This includes project briefs, client information, and other sensitive data. Confidentiality obligations remain in effect even after the project has been completed.
11. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to Terms and Conditions
Grand Branding Ltd. reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to the Client in writing and will apply to future projects or ongoing services.
